These Terms and Conditions (“Terms”) constitute a legally binding agreement between you and JFC Medical Supplies, LLC (“JFC,” “Company,” “we,” “us,” or “our”) governing your access to and use of our website, online store, accounts, products, services, content, and related features (collectively, the “Site” and “Services”).

By accessing or using the Site, creating an account, placing an order, or otherwise engaging with our Services, you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Site or Services.

1. Eligibility and Use of the Site

You represent and warrant that you are at least the age of majority in your jurisdiction and have the legal capacity to enter into these Terms. If you use the Site on behalf of a business, clinic, facility, practice, or other entity, you represent and warrant that you have authority to bind that entity to these Terms.

You agree to use the Site only for lawful purposes and in accordance with these Terms.

2. Scope of Services

JFC operates an ecommerce platform offering medical supplies, health-related products, nutrition products, infant formula, personal care items, durable medical equipment (“DME”), and other related products, subject to product availability, legal restrictions, supplier participation, and applicable law.

We may sell products to individual consumers, caregivers, clinics, businesses, facilities, and other commercial purchasers. Certain products may not be available in all states or to all customers.

At this time, purchases through the Site are offered as cash-pay ecommerce transactions only. Unless expressly stated otherwise, JFC does not currently bill insurance, Medicare, Medicaid, or other third-party payors through the Site.

3. No Medical Advice; Educational Content Disclaimer

The Site may contain educational, informational, or product-related content concerning medical supplies, wellness, nutrition, caregiving, or related topics. All such content is provided for general informational and educational purposes only and does not constitute medical advice, diagnosis, treatment, clinical instruction, or professional healthcare services.

Nothing on the Site is intended to substitute for the independent judgment, advice, diagnosis, or treatment of a licensed physician, nurse, pharmacist, dietitian, or other qualified healthcare professional. You should consult an appropriate licensed professional before purchasing, selecting, or using any product, especially for infants, medically complex individuals, enteral feeding, DME, or prescription-related products.

Your use of any product obtained through the Site is at your own risk and must be consistent with the manufacturer’s labeling, instructions for use, warnings, contraindications, and the direction of your healthcare provider where applicable.

4. Product Information and Availability

We endeavor to present product descriptions, images, specifications, ingredients, sizing, compatibility, and pricing as accurately as reasonably possible. However, product packaging, labeling, manufacturer information, formulas, colors, components, images, and availability may change without notice.

JFC does not warrant that product descriptions, pricing, availability information, images, specifications, or other Site content are complete, current, accurate, or error-free. We reserve the right to correct any errors, inaccuracies, or omissions at any time, including after an order has been submitted.

Certain products may be discontinued, restricted, delayed, backordered, limited by jurisdiction, or unavailable due to supplier, manufacturer, regulatory, or inventory conditions.

5. Orders; Acceptance; Right to Refuse or Cancel

All orders placed through the Site are subject to acceptance by JFC. Your receipt of an order confirmation does not constitute final acceptance of your order. We reserve the right, in our sole discretion, to refuse, limit, or cancel any order for any lawful reason, including but not limited to:

product unavailability;
supplier rejection or fulfillment failure;
suspected fraud or unauthorized activity;
pricing, description, image, or inventory errors;
restrictions related to shipping destination or applicable law;
inability to verify payment, identity, prescription, authorization, or eligibility;
suspected resale in violation of these Terms or supplier restrictions.

If your order is canceled after payment has been authorized or captured, we will issue a refund or reversal in accordance with our payment procedures and applicable law.

6. Pricing; Inventory Errors; Supplier Feed Errors

Prices displayed on the Site are subject to change without notice. Despite our efforts, the Site may contain errors relating to pricing, promotions, availability, shipping estimates, product descriptions, or supplier-provided catalog data.

JFC reserves the right to cancel, refuse, or limit any order affected by:

pricing errors;
typographical errors;
duplicate promotions;
inaccurate supplier feed data;
discontinued items;
inventory mismatches;
incorrect shipping calculations;
other material inaccuracies.

If a mistake is discovered after an order is placed, we may cancel the order and issue a refund, or contact you with revised information and options, in our discretion.

8. Payment Terms

The Site may accept various non-cash payment methods, including major credit cards, debit cards, Apple Pay, Google Pay, PayPal, Venmo, and other payment methods we make available from time to time.

By submitting payment information, you represent and warrant that:

you are authorized to use the selected payment method;
the billing information provided is accurate and complete;
you authorize us and our payment processors to charge the applicable amount, including taxes, shipping, and any other disclosed charges.

We reserve the right to decline or void transactions suspected of fraud, abuse, unauthorized use, or payment irregularities.

9. Express Checkout and Third-Party Payment Providers

The Site may offer accelerated or express checkout options through third-party payment providers or digital wallets. If you choose such a method, certain checkout, payment-confirmation, shipping, and contact information may be transmitted to us or our processors to complete your transaction.

Your use of any third-party payment provider is also governed by that provider’s own terms, privacy policies, and operating rules. JFC is not responsible for the acts, omissions, downtime, security incidents, or policies of third-party payment providers.

10. Shipping and Fulfillment

JFC primarily operates using supplier-supported dropshipping and may also, now or in the future, fulfill certain products from its own inventory or from third-party logistics providers.

Accordingly:

shipping times are estimates only;
fulfillment timelines may depend on supplier inventory, processing, and shipping performance;
certain items may ship separately;
delays may occur due to backorders, supply chain disruptions, weather, carrier issues, manufacturer interruptions, or regulatory holds;
delivery dates are not guaranteed unless expressly stated otherwise in writing.

Risk of loss and title transfer, to the extent permitted by applicable law, shall pass as stated in the applicable product, carrier, or fulfillment terms, or otherwise upon delivery to the shipping address provided by the customer.

JFC is not liable for delays, losses, or nonperformance caused by carriers, suppliers, manufacturers, or events beyond our reasonable control.

11. Order Cancellations

Because many products are fulfilled through third-party suppliers, orders may be canceled only if cancellation is requested and successfully processed before the order is transmitted for fulfillment, picked, packed, or shipped.

Once an order has entered fulfillment, cancellation may not be possible. Any cancellation request remains subject to supplier policies, fulfillment status, and our approval.

12. Returns, Refunds, and Non-Returnable Items

Unless otherwise stated in a separate posted policy, JFC may accept returns of eligible products that are:

unused;
unopened;
in original packaging;
in resalable condition; and
returned within the applicable return window stated on the Site.

For safety, hygiene, regulatory, and product-integrity reasons, the following categories may be non-returnable or non-refundable, except where required by law or where the item was damaged, defective, or shipped in error:

opened or used products;
hygiene-sensitive products;
personal care items;
enteral feeding items once opened;
infant formula, nutrition products, or ingestible items once shipped or opened, as applicable;
prescription items;
special-order items;
custom-configured items;
products marked final sale or non-returnable.

Refunds, store credits, replacements, and return approvals are issued in our discretion, subject to applicable law and any posted return procedures. Shipping charges may be non-refundable unless the error was ours or return is otherwise required by law.

13. Prescription, Verification, and Restricted Items

Certain items offered through the Site may require:

a valid prescription;
physician authorization;
medical necessity documentation;
age verification;
identity verification;
eligibility confirmation;
licensure or business credentials; or
other documentation required by law, manufacturer policy, or supplier policy.

JFC reserves the right to delay, deny, cancel, or refuse shipment of any product pending satisfactory review of required documentation. Submission of an order for a restricted item does not guarantee acceptance or shipment.

14. Product Use and Compliance

You agree that you will use all products strictly in accordance with:

manufacturer instructions;
product labeling;
applicable warnings and contraindications;
the advice of your licensed healthcare provider, where appropriate;
applicable law.

You shall not misuse, alter, repackage, resell in violation of law or supplier restrictions, or use any product for an unintended or unauthorized purpose.

15. Promotions, Discount Codes, and Loyalty Offers

From time to time, JFC may offer promotions, discount codes, referral programs, introductory offers, bundles, loyalty rewards, or other incentives. Such promotions are subject to these Terms and any additional promotion-specific terms posted or provided with the offer.

Unless otherwise stated:

promotions may be modified or discontinued at any time;
promotions may not be combined;
promotions have no cash value;
promotions may be limited by date, quantity, user, account, geography, product category, or supplier restriction;
misuse, fraud, duplication, or abuse may result in cancellation of the promotion, cancellation of the order, suspension of account privileges, or other corrective action.

16. Reviews, Testimonials, and User Content

If you submit reviews, ratings, testimonials, comments, photos, suggestions, ideas, or other content (“User Content”), you grant JFC a non-exclusive, worldwide, royalty-free, perpetual, irrevocable, transferable, sublicensable right to use, reproduce, modify, publish, display, distribute, and otherwise exploit such User Content in connection with our business, subject to applicable law.

You represent and warrant that:

you own or control the rights to the User Content;
your User Content is truthful and not misleading;
your User Content does not violate any law or third-party right;
your User Content does not contain unlawful, defamatory, harassing, infringing, obscene, or deceptive material.

We reserve the right, but not the obligation, to remove, edit, moderate, or refuse any User Content at our discretion.

17. Intellectual Property

The Site and all content and materials on it, including text, graphics, product compilations, logos, trademarks, service marks, design elements, software, images, videos, and other materials, are owned by or licensed to JFC and are protected by applicable intellectual property and proprietary rights laws.

Except as expressly permitted in writing, you may not copy, reproduce, republish, distribute, display, modify, create derivative works from, scrape, reverse engineer, or exploit any portion of the Site or its content for commercial or unlawful purposes.

18. Prohibited Conduct

You agree not to:

violate any applicable law or regulation;
interfere with or disrupt the operation or security of the Site;
use bots, scraping tools, crawlers, or automated systems without authorization;
submit false orders, fraudulent payment information, or misleading documentation;
impersonate another person or entity;
upload malicious code or attempt unauthorized access;
use the Site in a manner that infringes the rights of JFC, its suppliers, other users, or third parties.

19. Third-Party Services and Supplier Relationships

The Site may rely on third-party suppliers, manufacturers, payment processors, shipping carriers, software providers, hosting providers, and service vendors. JFC is not responsible for the independent acts, omissions, products, delays, policies, or failures of such third parties, except as required by law.

Product availability, fulfillment, packaging, lead times, and related performance may be influenced by suppliers and manufacturers. We reserve the right to substitute fulfillment methods, discontinue listings, or cancel orders where third-party support is unavailable.

20. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SITE, SERVICES, AND ALL PRODUCTS AND CONTENT MADE AVAILABLE THROUGH THE SITE ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE.

WITHOUT LIMITING THE FOREGOING, JFC DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, TITLE, ACCURACY, QUIET ENJOYMENT, OR THAT THE SITE OR PRODUCTS WILL BE ERROR-FREE, UNINTERRUPTED, COMPATIBLE, OR SUITABLE FOR YOUR PARTICULAR NEEDS.

NOTHING IN THESE TERMS EXCLUDES ANY WARRANTY OR RIGHT THAT CANNOT BE EXCLUDED UNDER APPLICABLE LAW.

21. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, JFC MEDICAL SUPPLIES, LLC, AND ITS OFFICERS, MEMBERS, MANAGERS, EMPLOYEES, AFFILIATES, CONTRACTORS, SUPPLIERS, LICENSORS, AND SERVICE PROVIDERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, BUSINESS OPPORTUNITY, OR USE, ARISING OUT OF OR RELATING TO THE SITE, THE SERVICES, ANY PRODUCT, ANY DELAY, ANY ORDER CANCELLATION, ANY PRODUCT UNAVAILABILITY, ANY THIRD-PARTY SUPPLIER OR CARRIER ISSUE, OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, JFC’S TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SITE, SERVICES, PRODUCTS, OR THESE TERMS SHALL NOT EXCEED THE GREATER OF: (A) THE AMOUNT PAID BY YOU TO JFC FOR THE SPECIFIC PRODUCT OR ORDER GIVING RISE TO THE CLAIM; OR (B) ONE HUNDRED U.S. DOLLARS (US $100.00).

THE LIMITATIONS IN THIS SECTION APPLY TO THE FULLEST EXTENT PERMITTED BY LAW AND SHALL SURVIVE EVEN IF ANY LIMITED REMEDY FAILS OF ITS ESSENTIAL PURPOSE.

22. Indemnification

You agree to defend, indemnify, and hold harmless JFC Medical Supplies, LLC and its affiliates, officers, members, managers, employees, agents, contractors, suppliers, and service providers from and against any claims, demands, actions, losses, liabilities, damages, judgments, costs, and expenses, including reasonable attorneys’ fees, arising out of or related to:

your use of the Site or Services;
your breach of these Terms;
your misuse of any product;
your violation of any law or third-party right;
your User Content;
your negligence, fraud, or misconduct.

23. Governing Law and Forum

These Terms and any dispute, claim, or controversy arising out of or relating to the Site, the Services, any order, any product, or these Terms shall be governed by and construed in accordance with the laws of the State of North Carolina, without regard to conflict-of-law principles.

To the fullest extent permitted by applicable law, the state and federal courts located in North Carolina shall have exclusive jurisdiction over any dispute arising out of or relating to these Terms, the Site, the Services, or any transaction with JFC, and you consent to the personal jurisdiction and venue of such courts.

24. Compliance With Laws

You are responsible for ensuring that your purchase, importation, possession, and use of any product is lawful in your jurisdiction. JFC reserves the right to limit sales, refuse transactions, or require documentation where necessary to comply with applicable laws, regulations, supplier requirements, or public safety concerns.

25. Privacy

Your use of the Site is also subject to our Privacy Policy, which is incorporated into these Terms by reference.

26. Termination

We may suspend or terminate your access to the Site or Services, cancel orders, or restrict account functionality at any time, with or without notice, if we believe you have violated these Terms, applicable law, or any policy incorporated herein, or if your use poses legal, operational, reputational, or security risk to JFC or others.

27. Force Majeure

JFC shall not be liable for any failure or delay in performance resulting from causes beyond its reasonable control, including acts of God, natural disasters, public health emergencies, labor disputes, war, terrorism, civil unrest, governmental actions, supply chain interruptions, transportation failures, cyber incidents, power outages, telecommunications failures, or supplier/manufacturer disruptions.

28. Severability

If any provision of these Terms is determined to be invalid, unlawful, or unenforceable, the remaining provisions shall remain in full force and effect to the maximum extent permitted by law.

29. Waiver

No waiver by JFC of any provision of these Terms shall be deemed a continuing waiver or a waiver of any other provision, and any failure to assert a right or provision shall not constitute a waiver of such right or provision.

30. Entire Agreement

These Terms, together with our Privacy Policy and any other policies or terms expressly incorporated by reference, constitute the entire agreement between you and JFC with respect to the Site and Services and supersede all prior or contemporaneous communications, understandings, or agreements relating thereto.

31. Changes to These Terms

We reserve the right to amend, modify, or update these Terms at any time in our sole discretion. Any changes will be effective upon posting to the Site, unless otherwise stated. Your continued use of the Site or Services after revised Terms are posted constitutes your acceptance of the updated Terms.
